What is governance for the Professional Ethics Committee?

Adherence to the AECT Code of Ethics shall be a condition of membership in the Association. (By-laws, section 16).

The Professional Ethics Committee is listed in the AECT By-laws as one of three governance committees (Nominating and Executive are the other two). Both of the other governance committees have a voice and a vote on the Board. The Committee is appointed by the Board and is charged with both formal review of violations of the Code of Ethics and reviewing, updating, and illuminating the Code of Ethics..

Does governance by the Committee mean review of the Code of Ethics, creating case studies and publishing them and occasionally changing a word or two or maybe even creating a new principle but not be involved in illumination of the Code within the Association activities? 
 
Does governance mean we only are active in the Association when there is a "need" through a violation or does governance mean we are actively involved in "evolving" our Code of Ethics through interaction with the Board, Divisions, Standing Committees, Task Forces, and general membership.

I think that the professional ethics committee should be actively involved in shaping the code of ethics to meet new situations and challenges. This evolving of the code of ethics should not be a knee-jerk reaction, but rather should issue from a two way conversation with the membership and leadership. Having a seat on the board of directors may help move this process forward more fluidly.
